The shareholders of Lamor Corporation Plc are invited to the Extraordinary General Meeting to be held on 13 November 2026 commencing at 10:00 a.m. (Eastern European Time) without a meeting venue as a real-time virtual meeting in accordance with Article 9 of the Articles of Association and Chapter 5, Section 16, Subsection 3 of the Finnish Companies Act. Instructions for participation are presented in this notice under section C "Instructions for meeting participants".
Shareholders may also exercise their voting rights by voting in advance. Instructions for advance voting are set out in Section C of this notice to the Extraordinary General Meeting.
A. Matters to be discussed at the General Meeting
The General Meeting will discuss the following matters:
- Opening the meeting
- Calling the meeting to order
- Election of the persons to scrutinize the minutes and to supervise the counting of votes
- Recording the legality of the meeting
- Recording the attendance at the meeting and adoption of the list of votes
- Authorizing the Board of Directors to decide on the issuance of shares
The company announced on 23 October 2026 that it is contemplating carrying out a directed share issue in accordance with the terms of its financing arrangements and to strengthen its liquidity (the "Share Issue"). The Share Issue would increase the company's equity by a total of at least EUR 5 million (gross). The subscription price of the Share Issue will be resolved on by the company's Board of Directors, and the final subscription price is expected to be 10 per cent lower than the volume-weighted average price of the company's shares on the regulated market maintained by Nasdaq Helsinki Ltd during the 30-day period ending on the publication of the company's Q3 2026 business review on or about 6 November 2026 (inclusive of that date). Calculated up to the closing of the trading day preceding the publication date of the release, 22 October 2026, the Share Issue would illustratively result in the issuance of approximately 7.0 million shares. However, as described in more detail below, the Board of Directors proposes to the Extraordinary General Meeting that no more than 10 million shares may be issued under the share issue authorization, to help provide flexibility if there are changes in market conditions.
The Board of Directors proposes that the Extraordinary General Meeting authorize the Board of Directors to decide on the issuance of shares as follows:
The shares issued under the authorization may be new shares or treasury shares. Under the authorization, a maximum of 10,000,000 shares, which corresponds to approximately 36.4 per cent of all of the shares of the company at the time of this proposal, may be issued. The shares may be issued in one or more tranches.
Under the authorization, the Board of Directors may resolve upon issuing new shares to the company itself. However, the company, together with its subsidiaries, may not at any time hold more than 10 per cent of all its shares.
The Board of Directors is authorized to resolve on all terms of the share issue. The Board of Directors is authorized to resolve on a directed share issue in deviation from the shareholders' pre-emptive rights, provided that there is a weighty financial reason for the company to do so.
The proposed authorization does not invalidate any earlier authorizations entitling the Board of Directors to decide on share issuances or issues of special rights entitling to shares.
The authorization is valid until the close of the next Annual General Meeting, however no longer than until 30 June 2027.
