COMPOSITION OF HONKARAKENNE’S SHAREHOLDERS’ NOMINATION COMMITTEE
The Shareholders’ Nomination Committee of Honkarakenne Oyj prepares proposals concerning the composition and remuneration of the Board of Directors and the remuneration of the members of the Board committees for submission to the Annual General Meeting.
The Shareholders’ Nomination Committee consists of four members. In addition, the Chair of the Board of Directors serves as an expert member of the Committee.
In accordance with the Charter of the Shareholders’ Nomination Committee, the right to appoint the members representing shareholders is vested in the four largest shareholders, or groups of shareholders that have agreed to jointly appoint a representative to the Committee, based on the voting rights conferred by all shares in the Company as recorded in the shareholders’ register maintained by Euroclear Finland Ltd on the last business day of August preceding the Annual General Meeting. If a shareholder does not wish to exercise its appointment right, the right is transferred to the next largest shareholder that would otherwise not be entitled to appoint a member.
The Shareholders’ Nomination Committee of Honkarakenne Oyj has been constituted and its members are:
- Kalle Saarelainen, appointed by Saarelainen Oy;
- Tuomas Saarelainen, appointed by the Saarelainen-Ruuska shareholder group;
- Mika Rytkönen, appointed by Kalle Saarelainen; and
- Vesa Ollikainen, appointed by Nordea Nordic Small Cap Fund.
At its constitutive meeting held on 7 October 2026, the Committee elected Kalle Saarelainen as Chair from among its members and invited Jouni Grönroos, Chair of the Board of Directors of Honkarakenne Oyj, to serve as its expert member.
The Committee will submit its proposals to the Board of Directors concerning the composition and remuneration of the Board of Directors for the 2027 Annual General Meeting by 31 January 2027.
