Directed share issue without payment to implement Board remuneration
The Board of Directors of Optomed Plc (the “Company”) has resolved on a directed share issue without payment to implement the payment of the portion of the remuneration of the Board of Directors that is in the form of shares in the Company, as resolved by the 2026 Annual General Meeting.
In the share issue, a total of 42,614 new shares in the Company will be issued without payment to the members of the Company’s Board of Directors. The resolution on the share issue is based on the authorization granted by the 2026 Annual General Meeting.
The new shares are intended to be registered with the Finnish Trade Register on or about 24 August 2026 and will entitle to dividend and confer all other shareholders’ rights as of their registration. The Company intends to apply for the admission of the new shares to trading on the regulated market maintained by Nasdaq Helsinki Ltd on or about 25 August 2026.
Following the registration of the new shares, the total number of shares in the Company will be 21,495,911 shares.
