Proposal for the composition of the Board of Directors
Enento Group’s shareholders’ Nomination Board proposes to the next Annual General Meeting, which is planned to be held on 25 March 2026, that the number of members of the Board of Directors be eight, and that:
- Erik Forsberg, Nora Kerppola, Markus Ehrnrooth, Veli-Matti Mattila, Petra Ålund, Paul Randall and Kalle Alppi be re-elected as members of the Board and
- Martina Neumayr be elected as a new member of the Board,
- Veli-Matti Mattila be elected as the Chairperson of the Board.
Among the current members of the Board, Tiina Kuusisto has informed that she no longer is available to be re-elected as a member of the Board. The proposed continuing members of the Board of Directors are presented on Enento Group’s website https://enento.com/board-of-directors/. The CV of the proposed new member of the Board of Directors will be made available at the Enento Groups Annual General Meeting page.
Proposal for the remuneration of the Board of Directors
The Shareholders Nomination Board proposes to the Annual General Meeting that the annual remuneration payable to the members of the Board of Directors to be:
- EUR 105,000 for the Chairperson of the Board (2025: EUR 100,000),
- EUR 42,000 for other Board members (2025: 40,000).
In addition, the Nomination Board proposes that an attendance fee of EUR 525 shall be paid per Board of Directors meeting to Board members.
Furthermore, the Nomination Board proposes that Chairpersons of Board of Directors committees shall be paid an attendance fee of 525 euros and the committee members shall be paid an attendance fee of 420 euros per committee meeting. The Nomination Board proposes that no remuneration will be paid to the Nomination Board members.
The Nomination Board proposes that reasonable travelling expenses for the attendance to the meetings shall be paid to members of Board of Directors.
The Nomination Board proposes that this proposal for remuneration will become effective after the next Annual General Meeting on 25 March 2026.
The proposals will be included into the invitation of the Annual General Meeting, which is estimated to be published on 16 February 2026.
