Proposals of the Shareholders’ Nomination Board of United Bankers Plc to the Annual General Meeting 2026
The Shareholders' Nomination Board established by the Annual General Meeting of United Bankers Plc presents the following proposals to the Annual General Meeting to be held on 20 March 2026. The proposals will be included in the notice of the Annual General Meeting to be published at a later date.
Proposal for the composition of the Board of Directors
The Shareholders’ Nomination Committee submits the following proposals regarding the number of Board members and Board composition for the one-year term of office determined in United Bankers Plc’s Articles of Association, which will begin at the close of the 2026 Annual General Meeting and end at the close of the 2027 Annual General Meeting.
The Shareholders' Nomination Board proposes that the number of members of the Board of Directors be eight (8).
The Nomination Board proposes that the current members of the Board of Directors, Patrick Anderson, Elisabeth Dreijer von Sydow, Rasmus Finnilä, Rainer Häggblom, Lennart Robertsson and Eero Suomela, be re-elected, and that Antje Biber and Katherine Ireland be elected as new members of the Board of Directors. The current member of the Board of Directors, Tarja Pääkkönen, has informed the company that she is not available for re-election to the Board of Directors at the Annual General Meeting to be held on 20 March 2026. The members of the Board of Directors elect the Chair and Vice Chair of the Board of Directors from among themselves.
The proposed Board members meet the independence requirements of the Finnish Corporate Governance Code for listed companies. The majority of the proposed members of the Board of Directors have been assessed to be independent of the company. Antje Biber, Elisabeth Dreijer von Sydow, Katherine Ireland, Lennart Robertsson and Eero Suomela are independent of the company and its significant shareholders. Patrick Anderson and Rainer Häggblom are independent of the company’s significant shareholders, but not of the company, as Anderson has an employment relationship with the company as a full-time Chair of the Board, and Häggblom provides consulting services to United Bankers Group company. Rasmus Finnilä is not independent of the company, as Finnilä is permanently employed by United Bankers Group company and is not independent of the company’s significant shareholder, Jarafi Oy.
All nominees have given their consent to the election. Information relevant to the Board work of the persons proposed for re-election as Board members as well as of the proposed new Board member candidates, Antje Biber and Katherine Ireland, is available on United Bankers’ website at https://unitedbankers.fi/en/united-bankers-group/corporate-governance/board-of-directors/.
With regard to the selection procedure for members of the Board of Directors, the Shareholders' Nomination Board recommends that shareholders evaluate and vote on the Board candidate list as a whole at the Annual General Meeting. This recommendation is given on the basis that the Nomination Board’s responsibility is to ensure that not only that the individual nominees for Board membership meet the qualifications but also that the Board of Directors collectively provides an optimal mix of expertise and experience for the company, and also meets the requirements for Board diversity and other requirements of the Finnish Corporate Governance Code and legislation for the composition of the Board of Directors of listed companies.
Proposal for the remuneration of the Board of Directors
The Shareholders' Nomination Board proposes that the Chair of the Board of Directors be paid an annual remuneration of EUR 40,000, the Chair of the Audit Committee EUR 35,000, and other members of the Board of Directors EUR 30,000, except for such Board members who are employed by a United Bankers’ subsidiary company, and who shall not receive any remuneration for their Board work. The remuneration is proposed to cover the entire term and committee work. It is proposed that travel expenses be reimbursed in accordance with the company's travel policy.
The independent members of the company’s Board of Directors decide on the employment relationship-related remuneration of the full-time Chair of the Board. The remuneration of the full-time Chair of the Board of Directors, Patrick Anderson, consists of the annual remuneration as well as, based on the contract concerning the employment relationship, a fixed salary and other benefits. The employment-based remuneration of the full-time Chair of the Board is evaluated annually and is based on the remuneration principles and policies applied by the company.
Composition of the Shareholders' Nomination Board
In accordance with the decision of the Annual General Meeting of United Bankers on 21 March 2025, the Shareholders' Nomination Board has four members. The Nomination Board consists of representatives appointed by the company's three largest shareholders and the Chair of the Board of Directors of United Bankers Plc. The three largest shareholders are determined on the basis of the shareholders' register maintained by Euroclear Finland Ltd in accordance with the holdings on the last trading day of Nasdaq Helsinki in August preceding the Annual General Meeting.
In 2025, Carl-Gustaf von Troil, appointed by Oy Castor-Invest Ab, Antti Asunmaa, appointed by Amos Partners Oy, Rasmus Finnilä appointed by Jarafi Oy, and Patrick Anderson, Chair of the Board of Directors of United Bankers Plc, were elected to the Shareholders' Nomination Board.
