HKFoods to redeem its outstanding capital securities issued on 17 September 2018
This notice is made in respect of HKFoods Plc's (the "Company") 16.000 per cent
fixed-rate capital securities (initial coupon rate 8.000 per cent), with the
outstanding aggregate principal amount of approximately EUR 25,900,000 (ISIN:
FI4000348818) (the "Capital Securities").
The Capital Securities do not have a specified maturity date, but the Company
has been entitled to redeem all of the Capital Securities for the first time on
the fifth (5.) anniversary of the issue date or on any interest payment date
thereinafter in accordance with Condition 7.5 (Redemption at the option of the
Issuer) of the terms and conditions of the Capital Securities. The Company
hereby gives a notice to the holders of Capital Securities (the "Holders") and
to the calculation agent that it will redeem all the outstanding Capital
Securities on 17 September 2025 (the "Redemption Date") in accordance with the
terms and conditions of the Capital Securities.
On the Redemption Date, the Company will pay to the Holders a redemption price
per Capital Security equal to 100 per cent of their principal amount together
with any accrued but unpaid interest. Interest on the Capital Securities to be
redeemed accrues until (but excluding) the Redemption Date.
This notice of redemption is irrevocable. All the outstanding Capital Securities
redeemed by the Company will be cancelled.
